Terms of Use

1. Acceptance of Terms

By accessing or using the FolioX platform (the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Platform. These Terms constitute a legally binding agreement between you and FolioX Inc. ("FolioX", "we", "us", or "our").

2. Nature of the Platform — No Financial Advice

The Platform provides systematic, rules-based signal outputs derived from quantitative models applied to publicly available market data. All content, signals, model outputs, allocations, and commentary provided through the Platform are for informational purposes only.

Nothing on the Platform constitutes, or should be construed as:

• Financial advice, investment advice, or trading advice;
• A recommendation to buy, sell, or hold any security, ETF, fund, or other financial instrument;
• A solicitation or offer to buy or sell any security;
• Portfolio management services; or
• Registration as an investment adviser under applicable Canadian or US securities laws.

FolioX is not registered as an investment adviser, portfolio manager, or dealer under any applicable Canadian provincial securities legislation or under the United States Investment Advisers Act of 1940. You should consult a qualified and registered financial adviser before making any investment decisions.

3. No Guarantee of Performance

Past model performance, backtest results, and historical signal outputs do not guarantee future results. All quantitative models carry inherent limitations and may not perform as expected under all market conditions. FolioX makes no representation or warranty, express or implied, as to the accuracy, completeness, timeliness, or fitness for purpose of any signal output or model result.

4. Eligibility and Account Registration

The Platform is available by invitation only during its beta phase. You must be at least 18 years of age to register for an account. By registering, you represent and warrant that all information you provide is accurate and complete, and that you will maintain the accuracy of such information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

5. Subscription and Trial Period

FolioX offers a 30-day free trial period upon registration, during which no payment is required. Subscription plans and associated fees will be introduced following the beta period. We will provide advance notice of any fees before they apply to your account.

6. Intellectual Property

All content, models, algorithms, signal methodologies, software, trademarks, and other intellectual property on the Platform are owned by or licensed to FolioX. You may not reproduce, distribute, modify, create derivative works of, or exploit any content from the Platform without our prior written consent.

7. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose;
• Attempt to reverse-engineer, decompile, or extract any model or algorithm from the Platform;
• Redistribute, resell, or sublicense signal outputs to third parties;
• Introduce any malware, virus, or harmful code to the Platform; or
• Circumvent any access controls or security measures.

8. Limitation of Liability

To the maximum extent permitted by applicable law, FolioX, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Platform or any signal output, including but not limited to investment losses, loss of profits, or loss of data.

FolioX's total aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount paid by you to FolioX in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless FolioX and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

11. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date above and, where appropriate, notifying registered users by email. Your continued use of the Platform following any modification constitutes acceptance of the revised Terms.
